NODWIN Gaming International, a subsidiary of Nazara Technologies, has announced the acquisition of Trinity Gaming, a gaming agency and platform, for a consideration of INR 24 Crore.
The deal, structured as a mix of INR 4.8 Crore in cash and INR 19.2 Crore in equity share swaps, is aimed at enhancing NODWIN’s ability to deliver immersive youth-centric entertainment experiences.
With this acquisition, Trinity’s founders, Abhishek Aggarwal and Shivam Rao, will continue to lead the business while becoming shareholders in NODWIN.
The move is expected to synergize Trinity’s expertise in creator support and content management with NODWIN’s expansive gaming and esports infrastructure.
Expanding NODWIN’s Offerings
Founded in 2019, Trinity Gaming has made its mark in the Indian gaming ecosystem by managing over 1,000 content creators and partnering with global brands like Samsung, Realme, iQOO, and Krafton.
Its services include creator support for Meta and running a gaming multi-channel network (MCN) on YouTube.
Expressing enthusiasm, NODWIN Gaming’s founder Akshat Rathee stated, “Trinity Gaming has been a long-time partner and ally in the gaming ecosystem, and we’ve shared a strong relationship with Abhishek, Shivam, and their incredible team over the years. We are thrilled to welcome Trinity Gaming into the NODWIN Gaming family. Trinity’s deep understanding of India’s gaming creator ecosystem, coupled with their expertise in brand partnerships, agency activations, content creation, and community engagement, will be pivotal in further strengthening our footprint in the region. This acquisition allows us to offer more holistic solutions to our partners, from content creation to marketing services, while continuing to build a thriving gaming ecosystem in India.”
Nazara Technologies’ Growth Strategy
This acquisition aligns with Nazara Technologies’ strategy of consolidating its position in the gaming and esports sector.
NODWIN Gaming, acquired by Nazara in 2018, has emerged as a significant revenue driver, contributing to Nazara’s leadership in youth entertainment.
NODWIN Gaming has made several strategic acquisitions to expand its footprint in the gaming and esports industry.
Notable entities acquired by NODWIN include Comic Con in India, a major pop culture event, as well as Freaks 4U Gaming, a prominent gaming marketing agency based in Germany.
The company also acquired Publishme, a marketing agency focused on West Asia and Turkey, and Branded, a Singapore-based live events firm.
Additionally, NODWIN acquired Ninja Global FZCO, a gaming and esports company operating in Turkey, further solidifying its presence in international markets.
Sectoral Challenges and Opportunities
The deal comes amidst regulatory challenges faced by the online gaming industry in India, including the 28% GST hike on gaming revenues.
Despite this, the industry continues to attract investments. Nazara recently raised INR 855 Crore from investors like SBI Mutual Fund and Caratlane founder Mithun Sacheti.
