NODWIN Gaming Acquires Ninja Global FZCO

NODWIN Gaming International Pte Ltd, a subsidiary of Nazara Technologies’ NODWIN Gaming Private Limited, has completed the acquisition of Ninja Global FZCO for $3.57 million (approximately INR 29.8 crore) in a strategic cash and stock deal.

The transaction, finalized on June 7, 2024, marks a significant expansion of NODWIN’s footprint in the esports and gaming production sectors across the UAE and Turkey.

The acquisition process began in February 2024, when Nazara Technologies announced that NODWIN Gaming had entered into a share purchase agreement with Planzet FZCO and its founders, Gokhan Kazar and Doruk Demirsa, to acquire a 100% stake in Ninja Global.

According to Nazara’s stock exchange filings, the deal involved a cash consideration of $1.32 million, with the remaining stake valued approximately at $2.25 million acquired through the issuance of preference shares of NODWIN Gaming International.

Out of the total purchase amount, NODWIN Gaming International paid $1 million upfront in cash and issued preference shares worth approximately $2.25 million.

An additional $320,063 will be paid in cash upon completion of the sale shares transfer registration with the Securities and Exchange Board of India (SEBI).

Nazara Technologies highlighted that the acquisition of Ninja Global will significantly enhance NODWIN’s global delivery network, enabling the company to provide advanced solutions to publishers and brands in the Middle East and Turkey.

This move aligns with Nazara’s strategy to strengthen its presence in emerging markets and diversify its service offerings.

Nazara Technologies has been actively expanding its portfolio through strategic acquisitions.

In October 2023, the company acquired PublishMe, a games marketing services company, for $2 million. In January 2024, NODWIN Gaming announced the acquisition of Comic Con India for INR 55 crore ($6 million) in a cash and stock deal to diversify its youth-focused portfolio.

Additionally, Nazara invested €8 million (around INR 71.8 crore) in Freaks 4U Gaming GmbH, a German marketing services company for gaming and esports.

Recently, NODWIN Gaming’s parent company, Nazara, raised approximately INR 510 crore from investors, including Zerodha co-founder Nikhil Kamath and SBI Mutual Fund.

CEO Nitish Mittersain stated that the funds would be used to invest in gaming studios capable of producing top-tier games for both Indian and global markets.

This acquisition is expected to bolster NODWIN’s capabilities and market reach, reinforcing its position as a leading player in the global esports and gaming industry.
